AN ACT relating to professional corporations; allowing the formation of certain professional corporations; and providing other matters properly relating thereto.
THE PEOPLE OF THE STATE OF NEVADA, REPRESENTED IN
SENATE AND ASSEMBLY, DO ENACT AS FOLLOWS:
1-1 Section 1. NRS 89.050 is hereby amended to read as follows:
1-2 89.050 1. Except as otherwise provided in subsection 2, a
1-3 professional corporation may be organized only for the purpose of
1-4 rendering one specific type of professional service and may not
1-5 engage in any business other than rendering the professional service
1-6 for which it was organized and services reasonably related thereto,
1-7 except that a professional corporation may own real and personal
1-8 property appropriate to its business and may invest its money in any
1-9 form of real property, securities or any other type of investment.
1-10 2. A professional corporation may be organized to render a
1-11 professional service relating to:
1-12 (a) Architecture, interior design, residential design, engineering
1-13 and landscape architecture, or any combination thereof, and may be
1-14 composed of persons:
1-15 (1) Engaged in the practice of architecture as provided in
1-16 chapter 623 of NRS;
1-17 (2) Practicing as a registered interior designer as provided in
1-18 chapter 623 of NRS;
2-1 (3) Engaged in the practice of residential design as provided
2-2 in chapter 623 of NRS;
2-3 (4) Engaged in the practice of landscape architecture as
2-4 provided in chapter 623A of NRS; and
2-5 (5) Engaged in the practice of professional engineering as
2-6 provided in chapter 625 of NRS.
2-7 (b) Medicine, homeopathy [and osteopathy,] , osteopathy and
2-8 psychiatric mental health, and may be composed of persons
2-9 [engaged] :
2-10 (1) Engaged in the practice of medicine as provided in
2-11 chapter 630 of NRS[, persons engaged] ;
2-12 (2) Engaged in the practice of homeopathic medicine as
2-13 provided in chapter 630A of NRS [and persons engaged] ;
2-14 (3) Engaged in the practice of osteopathic medicine as
2-15 provided in chapter 633 of NRS[. Such a] ; and
2-16 (4) Practicing in the field of psychiatric mental
2-17 health.
2-18 A professional corporation described in paragraph (b) may market
2-19 and manage additional professional corporations which are
2-20 organized to render a professional service relating to medicine,
2-21 homeopathy [and osteopathy.] , osteopathy and psychiatric mental
2-22 health.
2-23 3. A professional corporation may render a professional service
2-24 only through its officers and employees who are licensed or
2-25 otherwise authorized by law to render the professional service.
2-26 4. For the purposes of this section, the term “persons
2-27 practicing in the field of psychiatric mental health” includes:
2-28 (a) A psychiatrist who is certified by the American Board of
2-29 Psychiatry and Neurology and who is licensed to practice
2-30 medicine in this state;
2-31 (b) A psychologist who is licensed to practice in this state;
2-32 (c) A social worker who holds a master’s degree in social work
2-33 and who is licensed by the State as a clinical social worker;
2-34 (d) A registered nurse who is licensed to practice professional
2-35 nursing in this state and who holds a master’s degree in the field
2-36 of psychiatric nursing; and
2-37 (e) A marriage and family therapist who is licensed pursuant
2-38 to chapter 641A of NRS.
2-39 Sec. 2. This act becomes effective upon passage and approval.
